AGREED TERMS
1 Term of the Agreement
1.1 This Agreement commences on the date of execution by Aura and the Partner and will continue on an evergreen basis unless and until terminated in accordance with clause 19 (Term).
2 Appointment of Rewards Partner
2.1 By this Agreement, Aura appoints the Partner as a Rewards Partner.
2.2 As a Rewards Partner, the Partner is eligible to receive the benefits described in this Agreement, which include:
(a) Aura implementing the Aura API to enable the Partner to participate in the Aura Program in accordance with clause 3;
(b) the Partner having the ability to make Offers available to Aura Members in accordance with clause 4; and
(c) Aura providing Aura Member Insights to the Partner in accordance with clause 5.
2.3 Each Party acknowledges and agrees that:
(a) the Partner’s appointment as a Rewards Partner is not an exclusive arrangement, and each Party will be entitled to enter into similar arrangements with third parties that supply similar goods or services to the other Party;
(b) in order to remain appointed as a Rewards Partner, the Partner must comply with the terms of this Agreement; and
(c) nothing in this Agreement is intended to create a partnership, joint venture or agency relationship between the Parties.
3 Aura Application Program Interface
3.1 Within 60 days after the Commencement Date, the Parties will negotiate in good faith and agree an implementation strategy for the installation of the Aura API.
3.2 The implementation strategy will specify:
(a) the location (if applicable) and date(s) upon which any installation of the Aura API is to take place;
(b) the resources required by Aura from the Partner in order to install the Aura API; and
(c) any reasonable system, security or work health and safety policies of the Partner that Aura must comply with when installing the Aura API.
3.3 Once an implementation strategy is agreed by both Parties in writing (including by email), Aura agrees to install, or arrange for installation of, the Aura API in accordance with that implementation strategy.
3.4 The Parties agree to cooperate with each other in order to enable Aura to install the Aura API (including the resources described in the implementation strategy) in the most timely and efficient means possible.
4 Aura Program Offers
4.1 Partner and Aura will complete standard Aura Member offer template contained in Schedule 1.
4.2 From time to time during the Term, the Partner may notify Aura in writing that it wishes to make a Special Offer available to Aura Members (Special Offer Notice). The Special Offer Notice must include all relevant details regarding the Special Offer, including:
(a) the value of the Special Offer and the amount the Partner will pay to Aura to deposit into an Aura Member’s account upon the Member making an Eligible Purchase;
(b) the dates and time periods over which the Special Offer will be made by the Partner;
(c) the approved methods for Aura Members to redeem the Special Offer, for example, in-store or via a specific website;
(d) any restrictions or limitations on the Special Offer, including any restriction on the class of Aura Members who can redeem the offer, minimum spend or limitation on the goods or services available;
(e) any other terms and conditions applicable to the Special Offer;
(f) all promotional material required to advertise the Special Offer, in relation to which, the Partner agrees to prepare those promotional materials in a manner which complies with all reasonable guidelines and directions issued by Aura; and
(g) any other information reasonably requested by Aura.
4.3 When developing and making an Special Offer, the Partner will use reasonable endeavours to provide more valuable benefits to those Aura Members that have maintained their status as an Aura Member for longer periods of time.
4.4 Aura agrees to publish Special Offers on the Platform within 5 Business Days of receiving the Offer Notice provided:
(a) the Partner supplies Aura with all of the information as described in clause 4.1;
(b) the Special Offer and the associated promotional materials do not infringe the intellectual property rights of a third party;
(c) the Special Offer and the associated promotional materials comply with all applicable laws; and
(d) the Special Offer and the associated promotional materials are not, in Aura’s reasonable opinion, offensive, obscene or otherwise likely to cause offence to Aura Members or otherwise cause reputational damage to the Aura business,
4.5 Aura reserves the right, in its reasonable discretion, to refuse to publish the Special Offer, or remove any published Special Offer on the Aura Platform. If Aura removes an Special Offer under this clause 4.4, Aura will promptly notify the Partner of the removal.
5 Aura Member Insights
5.1 From time to time and not less than [4 times in every calendar year during the Term], Aura will provide to Partner with reports in a standard format that provide:
(a) analysis and insights on a de-identified basis in relation to Aura Members who have made an Eligible Purchase; or
(b) de-identified data segments of Aura Members in the format reasonably agreed by the Parties to enable the Partner to advertise to that data segment
(collectively “Aura Member Insights”).
5.2 Subject to Privacy and any other applicable legal restrictions, the Partner may request Aura to produce other analysis or reports in relation to Aura Members, at the cost of the Partner.
5.3 Where the Partner requests Aura to complete work as provided for in clause 5.2, Aura and the Partner will negotiate in good faith to agree the terms upon which Aura will complete the requested analysis or prepare the requested reports.
5.4 The Partner must not perform data matching, or otherwise attempt to re-identify any Aura Member or information about any Aura Member from the information disclosed under clauses 5.1 or 5.2.
6 Partner General Obligations
6.1 In performing its obligations under this Agreement, the Partner must:
(a) fulfil any Eligible Purchase and pay all applicable amounts in accordance with clause 8.1;
(b) comply with all applicable laws, and with all protocols, policies, guidelines and reasonable directions notified or given by Aura from time to time;
(c) cooperate with Aura and do all things reasonably necessary to assist in the efficient administration of the Aura Program; and
(d) not do anything in relation to the Aura Program that may bring Aura into disrepute or cause reputational damage to Aura.
6.2 The Partner must notify Aura immediately upon becoming aware of any breach of clause 6.1.
6.3 The Partner acknowledges and agrees that Aura is not liable for any Loss in connection with the Partner’s failure to fulfil an Eligible Purchase (or failure to pay the applicable amounts to the Aura Member or Charity Partner). The Partner indemnifies Aura for any and all Loss suffered or incurred by Aura that arises directly from or in connection with a claim made by an Aura Member or a Charity Member against Aura relating to any Eligible Purchase (or unpaid amounts) unfulfilled by the Partner that the Partner has not paid to Aura as required under this agreement.
7 Charity Recommendations
7.1 The Partner may recommend a charity for inclusion into the Aura Program as a Charity Member.
7.2 Upon receiving a recommendation, Aura will, discuss the Aura Program with the nominated charity to determine its suitability as a Charity Member. For the avoidance of doubt, Aura does not guarantee that a Partner recommended charity will be on-boarded into the Aura Program.
8 Payment Terms
8.1 The Partner must pay the Aura Member Reward, the Charity Member Reward and the Aura Commission Fee on the date of the Aura Member Eligible Purchase being receipted by the Partner.
8.2 If the Partner does not pay any Aura Commission Fee within ten (10) Business Days of the due date for payment, Aura may charge interest on the amount outstanding at the current rate of penalty interest prescribed by the Penalty Interest Rate Act 1983 (Vic) or, if this is greater than permitted by law, then the highest rate permitted by law calculated from and including the due date for payment until such time as full payment of the outstanding amount is made.
9 Refund Process
9.1 Subject to clauses 9.2 and 9.3, if an Aura Member returns one or more items that were purchased in an Eligible Purchase, Aura will reimburse the Partner as follows:
(a) if the return of the Eligible Purchase occurred within the standard refund period of the Partner, Aura will repay to the Partner the Aura Member Reward, Aura Commission Fee and Charity Member Reward received from the Partner in respect of the returned items; and
(b) if the return of the Eligible Purchase occurred on or after the standard refund period of the Partner, Aura will repay to the Partner the Aura Member Reward in respect of the returned items, but will retain the Aura Commission Fee and Charity Member Reward.
9.2 The Partner is only eligible for a refund under clause 9.1 if it provides Aura with a written notice which sets out details relating to the returned Eligible Purchase items and evidence of the Aura Member’s request for a refund from the Partner.
9.3 Aura will pay any refundable amounts directly to the Partner as soon as practicable, but no later than 7 days after receiving the notice and request for refund required under clause 9.2.
9.4 Without limiting its obligations under clause 6.1(b), the Partner must comply at all times with the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) when engaging with Aura Members and dealing with the return of and refunds for Eligible Purchases.
10 Marketing
10.1 Aura and the Partner will work together to promote the Aura Program, the Partner’s participation in the Aura Program and the opportunity for Aura Members to earn rewards in relation to Eligible Purchases.
10.2 Without limiting its obligations under clause 10.1, Aura and the Partner will work together to:
(a) develop and disseminate promotional materials to raise awareness of the Aura Program, the Partner’s participation in the Aura Program and the Offers; and
(b) display on the Partner’s websites promotional materials in respect of the Aura Program, which includes descriptions of the benefits of the Aura Program, the Offers, and a link to the Aura Platform to enable prospective members to apply for Aura membership.
10.3 Each Party must not publish, distribute or otherwise use any promotional materials which identifies the other Party unless that other Party has provided its prior written approval for use of that promotional material (which will be deemed given if the other Party does not respond within five (5) Business Days after being provided with the promotional material).
11 Intellectual Property Rights
11.1 Other than as expressly provided in this clause 11, nothing in this Agreement transfers or grants to a Party any right, title or interest in or to any Intellectual Property Rights in any material of the other Party existing prior to the Commencement Date or developed by or on behalf of the other Party independently of this Agreement.
11.2 Aura grants to the Partner a non-exclusive, non-transferrable and worldwide right to use any promotional materials provided by Aura relating to the Aura Program and the Aura Trade Marks during the Term exclusively for the purpose of the Partner performing its obligations under this Agreement.
11.3 Partner grants to Aura a non-exclusive, non-transferrable and worldwide right to use any promotional materials provided by the Partner relating to the Aura Program or an Offer, and the Partner Trade Marks during the Term exclusively for the purpose of Aura performing its obligations under this Agreement.
11.4 Each Party agrees and acknowledges that:
(a) the use of the other Party’s trade marks and logos must comply with, and is subject to, any branding specifications and guidelines, as notified in writing by the other Party from time to time (including any guidelines set out in the Key Details);
(b) it must comply with any directions of the other Party regarding use of the other Party’s trade marks and logos;
(c) it must use reasonable endeavours to protect the integrity of the other Party’s trade marks and logos and not use such trade marks and logos in any way that is likely to cause confusion or deceive; and
(d) the powers (if any) conferred by section 26 of the Trade Marks Act 1995 (Cth) are expressly excluded from this Agreement other than to the extent specifically provided for in this Agreement.
11.5 Without prejudice to any of its rights under this Agreement, if a Party (Aggrieved Party) considers that use by the other Party of the Aggrieved Party’s trade marks or logos is in any way prejudicial to the Aggrieved Party’s rights or interests or does not comply with this Agreement then the Aggrieved Party may give notice to the other Party to cease using such trade marks and logos until such time as the Aggrieved Party is satisfied that the other Party has remedied the prejudicial or non-complying behaviour.
11.6 Each Party agrees to promptly notify the other Party of any threats or potential of Intellectual Property infringement, which the Party becomes aware of during the Term in respect of its use of the licensed Promotional Materials, trade marks and logos.
11.7 Each Party indemnifies the other Party against all Loss suffered or incurred by the other Party under:
(a) a final judgment that the Party’s use of the other Party’s promotional material, trade marks or logos infringes the Intellectual Property Rights of any third party (Indemnified Claims); and
(b) settlement of the proceedings of the kind referred to in clause 11.7(a) which is authorised in advance in writing by the other Party.
12 Privacy
12.1 Each Party must comply with all applicable Privacy Laws in relation to any Personal Information collected, used, disclosed or otherwise handled in connection with this Agreement.
12.2 Without limiting clause 12.1, each Party must ensure that it:
(a) has done all things required by applicable Privacy Laws, including providing all necessary notices and obtaining all necessary consents to enable lawful collection and use of any Personal Information for the purposes contemplated under this Agreement;
(b) will not do any act or engage in any practice that would breach applicable Privacy Laws, or cause the other Party to be in breach of any Privacy Laws; and
(c) will implement and maintain commercially reasonable security measures to protect Personal Information from misuse and loss and from unauthorised access, modification or disclosure.
13 Data Breaches
13.1 The following procedures apply in respect of any Data Breach in respect of any Personal Information collected, used, disclosed or held in connection with this Agreement:
(a) the Party that suffered (or may have suffered) a Data Breach must notify the other Party in writing as soon as possible after it becomes aware of an actual or suspected Data Breach;
(b) the Party that suffered (or may have suffered) a Data Breach must comply with any reasonable directions issued by the other Party in connection with the Data Breach, and provide reasonable assistance where requested in relation to any Privacy Regulator investigation;
(c) the Party that suffered (or may have suffered) a Data Breach must promptly take all reasonable steps to contain and/or rectify the Data Breach; and
(d) the Parties will agree responsibility for notifying affected individuals and the relevant Privacy Regulator(s) of a Data Breach (if required), and not notify any affected individuals or any Privacy Regulator of the Data Breach (unless failing to notify would cause that Party to be in breach of applicable Privacy Laws).
14 Reporting and audit
14.1 The Partner must record all Eligible Purchases made by Aura Members, and provide Aura with a daily data file which sets out details of all Eligible Purchases made by Aura Members.
14.2 The Partner must ensure that the information it provides to Aura is accurate, complete and up-to-date.
14.3 Aura may, at its own cost and on reasonable notice (but no more frequently than once every six months during the Term) appoint an independent auditor to review the information provided by the Partner.
14.4 The Partner will provide the independent auditor appointed by Aura under clause 14.3 with information it reasonable requires to complete the audit and confirm the accuracy of the information provided by the Partner to Aura.
14.5 If any such audit shows any errors (including in the Partner’s reporting and any failure to pay all required amounts) the Partner must, to the extent practicable, remedy the cause of the error(s), and must promptly make payment to Aura to correct any underpayments.
15 Taxes and GST
15.1 Except where the context suggests otherwise, terms used in this clause 16 have the meanings given to those terms by the A New Tax System (Goods and Services Tax) Act 1999 (as amended from time to time).
15.2 Unless otherwise expressly stated, all amounts payable under this Agreement are inclusive of GST (or equivalent Taxes). If any supply under this Agreement is a Taxable Supply then the Party making the supply may, at the same time that an invoice is rendered for the agreed consideration for the Taxable Supply, recover the amount of GST payable on that Taxable Supply, subject to the issue of a valid Tax Invoice.
15.3 This clause 15 will not merge on completion or termination of this Agreement.
16 Confidentiality
16.1 Each Party agrees to keep confidential, and not to use or disclose, other than as permitted in this Agreement, any Confidential Information of the other Party.
16.2 Each Party agrees to take all prudent steps, including maintaining effective security measures, to protect the Confidential Information of the other Party from unauthorised access, use, copying or disclosure.
16.3 Each Party may disclose the Confidential Information of the other Party only on a “need-to-know” and confidential basis:
(a) if it is required to make such a disclosure by applicable Law or the rules of any stock exchange upon which the recipient’s securities are listed, provided that the recipient:
(i) discloses only the minimum amount of Confidential Information required to satisfy the relevant Law or stock exchange rules; and
(ii) prior to such a disclosure, provides a reasonable amount of written notice to the other Party;
(b) to those of its Personnel who have a need to know the Confidential Information to enable the Party to comply with its obligations under this Agreement;
(c) to the recipient’s financial, legal or other professional advisors for the purpose of obtaining advice in relation to the performance of its obligations under this Agreement; or
(d) with prior written consent of the other Party, to enable the performance of obligations under this Agreement.
16.4 Each Party who discloses Confidential Information of the other Party under clause 16.1 must ensure that the information is kept confidential by the recipients.
16.5 Each Party acknowledges that the value of the other Party’s Confidential Information is such that an award of damages or an account of profits may not be adequate compensation for breach of this clause 16.
16.6 Each Party acknowledges that, without compromising its rights to seek damages or receive any other form of relief in the event of a breach of this clause 16, a Party may seek and obtain an ex-parte interlocutory injunction or final injunction to prohibit or restrain the other Party or its Personnel from any breach or threatened breach of this clause 16.
17 Warranties and Exclusions
17.1 Each Party warrants to the other Party that:
(a) it has full power and authority to enter into, perform and observe its obligations under this Agreement;
(b) neither it nor its employees, officers or agents will engage in any conduct which is likely to damage the reputation or brand of the other Party; and
(c) any promotional materials it publishes or otherwise makes available to Aura Members does not contain any materially false or misleading misrepresentations or omissions.
18 Liability
18.1 Subject to clause 19.2 and to the extent permitted by law.
(a) the maximum cumulative liability of a Party for Loss sustained by the other Party under or in connection with this agreement will be equal to the total amounts paid or payable to Aura [note – is this just the 10% that Aura keeps or the three components – Members share, charity share plus Aura fee/] in the 12 months prior event giving rise to the liability occurring; and
(b) neither Party will be liable to the other Party for any Consequential Loss.
18.2 Nothing in this Agreement limits or excludes the liability of a Party for:
(a) personal injury or death, or damage to or loss of real or personal property;
(b) any indemnity provided under this Agreement; or
(c) acts of fraud, misrepresentation or wilful misconduct.
18.3 For the avoidance of doubt, nothing in this agreement is intended to exclude any guarantees which by law cannot be excluded or modified, including any consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other equivalent or similar legislation in your jurisdiction.
19 Termination
19.1 Without prejudice to any other right of action or remedy, either Party may terminate this Agreement with immediate effect by giving written notice to the other Party if the other Party:
(a) breaches this Agreement and that breach is incapable of remedy;
(b) fails to remedy a breach of this Agreement which is capable of remedy within thirty (30) days of receiving a notice from the Party not in breach detailing the breach and requesting it is rectified;
(c) becomes Insolvent; or
(d) commits an act or makes an unlawful or negligent omission which has had, or is reasonably likely to have, a material adverse impact on the reputation of the terminating Party.
19.2 In addition to any other termination rights set out in this Agreement, each Party may terminate all or part of this Agreement for convenience without cost or liability by providing the other Party with sixty (60) days’ notice in writing.
19.3 On the expiry or termination of this Agreement:
(a) each Party must cease all use of the other Party’s trade marks and logos;
(b) each Party must cease all use of any promotional material relating to an Offer or the Partner’s participation in the Aura Program;
(c) each Party must return to the other or destroy any Confidential Information of the other Party that is in the first Party’s possession or control; and
(d) each Party must pay all amounts due under the Agreement.
19.4 Despite any other provision of this Agreement, this clause 19.4, clauses 16 (Confidentiality), 17 (Warranties and Exclusions), 18 (Liability), 20 (Dispute Resolution), 22 (Miscellaneous), and any other obligations which are expressed to or, by their nature, survive expiry or termination of this Agreement will survive expiration or termination of this Agreement.
20 Dispute Resolution
20.1 Neither Party will commence court proceedings or action against the other Party under or in connection with this Agreement (Dispute) (other than where urgent interlocutory relief is required) unless it has first attempted to resolve the dispute in accordance with this clause 20.
20.2 The Parties will attempt to resolve any Dispute as follows:
(a) either Party may notify the other Party in writing of the occurrence of a Dispute and the Parties must meet within ten (10) Business Days or such other time as agreed to discuss and attempt to resolve the Dispute;
(b) failing resolution of the Dispute within ten (10) Business Days after the first meeting between the Parties in accordance with clause 20.2(a) the Parties may agree to refer the Dispute for mediation to be conducted in accordance with the Australian Disputes Centre (ADC) Mediation Guidelines and with a mediator as agreed by the Parties or, failing agreement, as appointed by the CEO of the ADC. If the Parties do not agree to do so, either Party may commence legal proceedings.
21 Miscellaneous
21.1 This Agreement is governed by and is to be construed in accordance with the laws applicable in Western Australia, Australia. Each Party irrevocably and unconditionally submits to the non exclusive jurisdiction of the courts exercising jurisdiction in Western Australia and any courts which have jurisdiction to hear appeals from any of those courts and waives any right to object to any proceedings being brought in those courts.
21.2 This Agreement contains the entire understanding between the Parties as to the subject matter of this Agreement.
21.3 This Agreement may consist of a number of counterparts and, if so, the counterparts taken together constitute one document.
21.4 Unless otherwise stated in this Agreement, this Agreement may only be varied or replaced by an agreement executed by the Parties.
21.5 A single or partial exercise or waiver by a Party of a right relating to this Agreement does not prevent any other exercise of that right or the exercise of any other right.
21.6 The Parties must not novate, or assign any or all of their rights or obligations under this Agreement to any person without the other Party’s prior consent (which may not be unreasonably withheld); and any purported dealing in breach of this clause is of no effect.
21.7 Unless expressed to the contrary, in this Agreement:
(a) words in the singular include the plural and vice versa;
(b) any gender includes the other genders;
(c) if a word or phrase is defined its other grammatical forms have corresponding meanings;
(d) ‘includes’ means includes without limitation;
(e) no rule of construction will apply to a clause to the disadvantage of a Party merely because that Party put forward the clause or would otherwise benefit from it; and
(f) a reference to a person includes a partnership, joint venture, unincorporated association, corporation and a government or statutory body or authority;
(g) a reference to any legislation includes subordinate legislation under it and includes that legislation and subordinate legislation as modified or replaced;
(h) Headings do not affect the interpretation of this Agreement
22 Definitions
Capitalised terms that have not been defined elsewhere in this Agreement have the following meaning:
API means ………………………..
Aura API means the API and any software to be integrated with the Partner’s sales or CRM systems required to be used in connection with the Aura Program.
Aura Commission Fee means the fee payable to Aura calculated in accordance with the Fee Structure.
Aura Member means an individual participating in the Aura Program.
Aura Member Insights means the reports and data segments described in clause 5.1.
Aura Program means the Aura loyalty program operated by Aura.
Aura Trade Mark means the trade marks and logos owner or controlled by Aura those set out in the Key Details.
Business Day means a day which is not a Saturday, Sunday or bank or public holiday in Perth, Western Australia.
Charity Member means a charity on-boarded by Aura (including under clause 7) and, for the purposes of payments under clause 8.1(b), the Charity Member nominated by the Aura Member.
Commencement Date means the last date of execution of this Agreement by either Party, or such other date as may be specified in this Agreement.
Confidential Information means all confidential, non-public or proprietary information exchanged between the Parties before, on or after the date of this Agreement relating to the business, technology or other affairs of the provider of the information but excludes information:
(a) which is in or becomes part of the public domain other than through breach of this Agreement or an obligation of confidence owed to the provider;
(b) which a Party can prove by contemporaneous written documentation was already known to it at the time of disclosure by the disclosing Party (other than if such knowledge arose from disclosure of information in breach of an obligation of confidentiality); or
(c) which the disclosing Party acquires from a third party entitled to disclose it.
Consequential Loss means:
(a) any special, indirect or consequential loss or damage;
(b) any economic loss in respect of any claim in tort;
(c) any loss of profits, loss of production, loss of revenue, loss of use, loss of contracts, loss of opportunity, loss or corruption of data, loss of goodwill or wasted overheads whatsoever; and
(d) any loss, expense or damage not within the contemplation of the Parties as at the Commencement Date.
Data Breach means any actual or suspected:
(a) unauthorised access to, modification of, or disclosure of any Personal Information;
(b) misuse, interference or loss of any Personal Information; or
(c) breach of a Party’s security obligations under this Agreement or at law.
Eligible Purchase means any purchase of the Partner’s goods or services or any transaction entered into by an Aura Member via the approved method that is subject to an Offer.
Fee Structure means the fees payable by the Partner to the Aura, the Charity Member and the Aura Member as specified in the Key Details.
Force Majeure Event means an event which is outside the reasonable control of the Party claiming that the event has occurred and the adverse effects of which could not have been prevented or mitigated against by that party with reasonable diligence or reasonable precautionary measures, and includes natural disasters, acts of terrorism, riots, revolutions, civil commotion, pandemic or epidemic, but does not include any act or omission of a subcontractor (except to the extent that act or omission is caused by a Force Majeure Event).
Insolvent means being an insolvent under administration or insolvent (each as defined in the Corporations Act 2001 (Cth)) or having a controller appointed, or being in receivership, in receivership and management, in liquidation, in provisional liquidation, under administration, wound up, subject to any arrangement, assignment or composition, protected from creditors under any statute, dissolved (other than to carry out a reconstruction while solvent) or being otherwise unable to pay debts when they fall due or having something with the same or a similar effect happen under the laws of any jurisdiction.
Intellectual Property Rights means all copyright, trade mark, design, patent, semiconductor and circuit layout rights, trade, business, company and domain names, confidential and other proprietary rights, and any other rights to registration of such rights whether created before or after the date of this Agreement both in Australia and throughout the world.
Key Details means the details set out on page 1 of this Agreement.
Loss means any loss, damage, liability, charge, expense, outgoing or cost (including all legal and other professional costs on a full indemnity basis) of any nature or kind.
Offer means the rewards or benefits made available by the Partner to Aura Members upon purchase of specified products or services.
Partner Trade Mark means the trade marks and logos owner or controlled by the Partner as set out in the Key Details.
Party means a party to these Agreed Terms.
Personal Information has the meaning given to it in the Privacy Act 1988 (Cth).
